These Terms of Service ("Terms") govern your access to and use of the PhantomAlgo website and desktop software (together, the "Service"). By purchasing a membership, downloading, or using the Service, you agree to these Terms and to the Risk Disclosure, which is part of this agreement. If you do not agree, do not use the Service.
PhantomAlgo is a software tool for Microsoft Windows that provides chart-first backtesting, strategy optimization, manual chart trading controls, risk guardrails, and journaling for futures trading accounts on supported third-party brokerage platforms (currently Tradovate). PhantomAlgo is software, not financial, investment, legal, or tax advice, and it is not a broker, exchange, commodity trading advisor, or investment adviser. We do not execute trades for you, hold your funds, or access your brokerage credentials; your broker connection is established locally on your own device.
You must be at least 18 years old and legally able to enter contracts to use the Service. Memberships are sold and managed through Whop; your purchase, billing, renewal, and cancellation are subject to Whop's terms in addition to these Terms. You are responsible for maintaining the confidentiality of your login and for all activity under it. Licenses are personal and non-transferable: do not share, resell, or redistribute your license, your download, or the software.
We make no representation that the Service or any strategy, backtest, optimization, or feature will produce profits or avoid losses. Backtested, hypothetical, or simulated results are not indicative of future results. See the Risk Disclosure.
The Service, including its design, code, and branding, is owned by PhantomAlgo and protected by applicable intellectual property laws. Your membership gives you a limited, revocable, non-exclusive license to use the software for your own personal trading while your membership is active. No ownership rights transfer to you.
Membership is billed on a recurring basis through Whop until cancelled. You can cancel at any time through your Whop membership dashboard; cancellation stops future billing and does not refund the current period unless required by law or stated at checkout. Prices and plan features may change with notice through the website or your member dashboard.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FEATURE WILL PREVENT LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHANTOMALGO AND ITS OWNER(S), OPERATORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless PhantomAlgo and its owner(s) and operators from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your trading activity, your violation of these Terms, or your violation of any third party's rules or rights, including your broker's terms and your prop firm's rules.
We may suspend or terminate your access at any time for violation of these Terms, abuse, fraud, or chargeback activity. You may stop using the Service and cancel your membership at any time. Sections that by their nature should survive (including Sections 5, 6, 8, 9, and 10) survive termination.
We may update these Terms from time to time. The current version is always posted on this page with its last-updated date. Continued use of the Service after an update means you accept the updated Terms.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.
